Terms of Service

These Terms of Service ("Terms") govern your access to and use of the couragetalent.com website (the "Website"), the COURAGE creator portal at couragetalent.com/portal (the "Portal"), and related services provided by Optimal Reality LLC ("COURAGE", "we", "us", or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into these Terms. The Services are not directed to or intended for use by anyone under 18.

2. Description of Services

COURAGE is an independent creator agency for TikTok LIVE creators. The Services include:

• Website — informational pages about COURAGE's creator-agency programs;
• Creator Portal — a sign-in-required portal where creators authenticated via TikTok Login Kit can view their payout history, opt into paid campaigns, manage their profile, and access COURAGE tools;
• Creator Tools — desktop and mobile applications (COURAGE Companion and COURAGE Shield) provided to signed creators free of charge or on a subscription basis to others, governed by separate end-user license terms.

3. Account registration and Sign in with TikTok

To use the Portal you must sign in using "Sign in with TikTok", which is implemented via TikTok's Login Kit on the user.info.basic scope. By signing in you authorize TikTok to share your TikTok open_id, union_id, display name, and avatar URL with COURAGE for the purpose of authenticating and recognizing your account.

You are responsible for maintaining the security of your TikTok account credentials and for all activity that occurs through your COURAGE account. You agree to notify us immediately of any unauthorized use. See our Privacy Policy for details on the information we receive.

4. No partnership claim; independence from TikTok

COURAGE is an independent creator agency and is not affiliated with, sponsored by, or endorsed by TikTok Inc., BD TikTok USA LLC, TikTok Pte. Ltd., ByteDance Ltd., or any of their affiliates. References to TikTok, TikTok LIVE, TikTok Shop, and related marks are descriptive only; those names and logos belong to their respective owners. Our use of TikTok's Login Kit and other APIs is governed by our separate developer agreements with TikTok.

5. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Use the Services in a way that violates TikTok's Terms of Service, Community Guidelines, or Platform Policies;
• Attempt to access any account, system, or data that you are not authorized to access;
• Generate fraudulent or automated traffic, views, impressions, clicks, or other actions;
• Scrape, copy, modify, or republish content from the Services without our prior written permission;
• Interfere with, disrupt, or attempt to compromise the security, integrity, or availability of the Services;
• Use the Services to harass, abuse, or harm any person;
• Misrepresent your affiliation with any person, entity, or program;
• Reverse engineer, decompile, or disassemble any part of the Services except where expressly permitted by law.

6. Creator content and intellectual property

Any content you create or share through your TikTok account remains yours; COURAGE claims no ownership rights in your TikTok content. When you post content to TikTok, you separately grant TikTok the licenses described in TikTok's Platform Terms of Use.

The COURAGE name, website design, original written content, and Creator Tools (including COURAGE Companion and COURAGE Shield) are the intellectual property of Optimal Reality LLC and are protected by copyright, trademark, and other laws. You may not use COURAGE trademarks or content without our prior written permission, except as permitted by these Terms.

7. Third-party services

The Services integrate with third-party platforms, including TikTok, Instagram, YouTube, Snap, X, and clipping.net (collectively, "Third-Party Services"). Your use of those Third-Party Services is governed by their respective terms and privacy policies, not these Terms. COURAGE is not responsible for the availability, accuracy, or practices of Third-Party Services.

8. Fees and payments

Creator payouts, commissions, and incentive structures are governed by your separate written agreement with COURAGE. Where the Services display projected earnings, those figures are estimates only; actual payouts are determined by the underlying platforms (such as TikTok) and by the terms of the applicable campaign.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if continued provision of the Services to you would harm COURAGE, other users, or third parties. You may stop using the Services at any time. To delete your COURAGE creator record, email privacy@couragetalent.com.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COURAGE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee any specific outcome, audience size, revenue, or platform standing for creators. Creator outcomes depend on many factors outside our control, including each creator's own effort and third-party platforms' rules and algorithms.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COURAGE AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Optimal Reality LLC and its directors, employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights, including third-party platform terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective Date" at the top of this page reflects the most recent revision. Material changes will be communicated through the Portal or by email to registered creators. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes.
